VALUATION SERVICES FOR M&As

Clearvant supports buyers, sellers, investors, and advisors across the transaction lifecycle through valuation, diligence, pricing analysis, and deal monitoring services.

Our approach combines technical rigor with commercially practical insight to support informed decision-making in complex transactions.

We organize the financial complexity of a potential deal into decision-ready intelligence. From risk assessment to operational analysis, we deliver structured Investment Memos, Fact Books, Data Books, and Deal Books

Connecting intrinsic value to deal value requires rigour, not guesswork. We determine asset values grounded in defensible methodology, sharpen purchase price positioning with deal-specific factors, and stress-test returns through scenario analysis, so your investment thesis holds under scrutiny.

Post-signing is where value is made or lost. We identify cost and growth synergy opportunities, build the financial models that keep value drivers in focus, and develop forward-looking Balance Sheet, P&L, and cash flow positions that support fund integration and financing decisions through close.

When the model underpins the decision, its integrity is non-negotiable. We independently assess third-party financial models across structure, logic, math, and reconciliation: stress-testing projection assumptions, synergy inputs, IRR sensitivity, and audit tie-outs to give your team confidence in the numbers before they move.

Instrument Understanding Before Model Selection

Model selection that precedes instrument understanding is where valuations fail. We map contractual terms, embedded features, and accounting context first, whether that means split accounting under IAS 32, separation analysis under ASC 470-20, or SPPI testing under IFRS 9. The model follows the instrument, not the other way around.

We source and document every input: swap curves, CDS spreads, implied volatilities, and credit data from Bloomberg, Capital IQ, Markit, Moody’s, and S&P. Where Level 3 inputs are unavoidable, we apply rigorous assumption documentation and sensitivity analysis consistent with IFRS 7 and ASC 820-10-50.

We identify Day-One P&L situations before the transaction closes, not after. Clients should not encounter unexpected accounting consequences at the first reporting date.

Exit price means exit price. We compute CVA and DVA using counterparty PD term structures derived from market observables, consistent with IFRS 13 and ASC 820 nonperformance risk guidance. For long-dated uncollateralised swaps, CVA can represent 2% to 5% of notional.

We validate third-party and internally developed models across conceptual soundness, mathematical integrity, input quality, and audit reconciliation. Coverage spans BSM, Hull-White, CIR/Vasicek, Monte Carlo, SABR, and waterfall structures, under both IFRS and US GAAP.

VALUATION SERVICES FOR COMPLEX FINANCIAL INSTRUMENTS

Price is not value. When an instrument sits on a balance sheet under IFRS 9, IAS 32, IFRS 13, ASC 820, or ASC 815, it demands an independent, auditor-ready fair value opinion that survives regulatory scrutiny. We provide valuation for accountability, not pricing for trading.
